1. ACCEPTANCE OF TERMS
These Terms of Service (“Terms”) constitute a legally binding agreement between
you (“you,” “your,” or “User”) and Jacobo Rene Upholstery, doing business as
Jacobo Upholstery (“Company,” “we,” “us,” or “our”), a sole proprietorship
located at 2065 W 62nd St, Hialeah, FL 33016.
By accessing our website at jacoboupholstery.com, submitting a contact or
quote request form, calling or texting us, visiting our location, or otherwise
engaging with our services, you agree to be bound by these Terms. If you do
not agree to these Terms, do not use our website or services.
2. DESCRIPTION OF SERVICES
Jacobo Upholstery provides professional upholstery fabrication, repair, and
restoration services, including but not limited to:
Residential furniture upholstery (sofas, chairs, ottomans, headboards)
Commercial and hospitality upholstery (restaurant seating, hotel furnishings)
Automotive and marine upholstery
Custom cushion and fabric work
Design consultation and fabric sourcing
Services are offered in-person at our Hialeah, FL location and, where
applicable, through in-home or on-site consultation across South Florida.
3. USE OF OUR WEBSITE
3.1 Permitted Use. You may use our website for lawful purposes only and solely
to inquire about or obtain information regarding our services.
3.2 Prohibited Use. You agree not to:
(a) Use our website to transmit any unlawful, harmful, or fraudulent content;
(b) Attempt to gain unauthorized access to any portion of our website or
systems;
(c) Use automated scripts, bots, or scrapers to collect data from our site;
(d) Impersonate any person or entity or misrepresent your affiliation;
(e) Violate any applicable local, state, federal, or international law.
3.3 Availability. We do not guarantee that our website will be available at all
times. We reserve the right to modify, suspend, or discontinue the website or
any feature at any time without notice.
4. QUOTES, ESTIMATES, AND SERVICE AGREEMENTS
4.1 No Guarantee of Pricing. All price quotes and estimates provided verbally,
via email, SMS, WhatsApp, or on our website are non-binding estimates only.
Final pricing is determined after physical inspection of the item(s) to be
serviced and mutual agreement between the parties.
4.2 Written Service Agreement. Any service engagement exceeding a de minimis
threshold may require a written or electronic work order signed by both
parties. The work order, once executed, supersedes any prior verbal or written
estimate.
4.3 Payment Terms. Payment terms will be specified in the work order or invoice.
We reserve the right to require a deposit before work commences. Final payment
is due upon completion of work and prior to pickup or delivery unless otherwise
agreed in writing.
4.4 Cancellations and Refunds. Deposits are non-refundable once materials have
been cut or ordered. If you cancel after work has commenced, you may be
responsible for the cost of labor performed and materials used to date.
4.5 Customer-Provided Materials. If you provide your own fabric or materials,
the Company is not responsible for defects in those materials or outcomes
resulting from their use. We reserve the right to decline to work with
materials we deem unsuitable.
5. SMS / TEXT MESSAGE COMMUNICATIONS
5.1 Program Description. By providing your mobile telephone number and
consenting to receive text messages from Jacobo Upholstery (either on our
website, via a paper or digital intake form, or in person), you agree to
receive recurring automated and manually dialed SMS and MMS text messages from
Jacobo Rene Upholstery (DBA Jacobo Upholstery). Message types include:
Service updates and appointment reminders
Quotes, estimates, and work order status notifications
Order readiness and pickup/delivery confirmations
Promotional offers and marketing messages
Customer satisfaction follow-ups
This is a MIXED-USE messaging program (transactional/service + marketing).
5.2 Consent Requirement (TCPA). In accordance with the Telephone Consumer
Protection Act, 47 U.S.C. § 227 (“TCPA”) and FCC regulations, we will only
send you promotional or marketing text messages after obtaining your prior
express written consent. Consent is collected:
(a) Through our website contact or quote request forms;
(b) Through our WhatsApp Business opt-in flow;
(c) Through paper or digital intake forms at our Hialeah location;
(d) By texting a designated keyword to our business number.
Consent to receive text messages is NOT a condition of purchasing any service
or product from us.
5.3 One-to-One Consent (FCC Rule effective January 27, 2025). Your consent is
granted solely to Jacobo Rene Upholstery (DBA Jacobo Upholstery). We will not
share, sell, or transfer your consent to any third-party marketing partner.
5.4 Message Frequency. Message frequency varies depending on your interaction
with our business. You may receive up to 4 messages per month for service
updates and/or promotions, in addition to transactional messages directly
related to active work orders or appointments.
5.5 Message and Data Rates. Message and data rates may apply. You are
responsible for any charges imposed by your mobile carrier.
5.6 How to Opt Out. You may revoke your consent and opt out of receiving SMS
messages at any time by:
(a) Replying STOP, CANCEL, UNSUBSCRIBE, or QUIT to any message we send;
(b) Contacting us directly by phone at (305) 822-0006;
(c) Emailing us at info@jacoboupholstery.com and requesting removal;
(d) Any other reasonable method of communicating your opt-out request.
Upon receipt of a valid opt-out request, we will honor it as soon as
practicable and no later than 10 business days as required by applicable FCC
rules (effective April 11, 2025). You will receive a one-time confirmation
message acknowledging your opt-out. After that, no further marketing messages
will be sent unless you re-opt-in. Note: Even after opting out of marketing
messages, you may still receive strictly transactional messages (e.g.,
confirmation that a work order has been completed) that are necessary to
fulfill an existing service agreement, unless you request that all
communications cease.

5.8 Carrier Disclaimer. Carriers are not liable for delayed or undelivered
messages.
5.9 Supported Keywords.

5.10 10DLC / Registration. Our SMS messaging program is operated in compliance
with the Campaign Registry (TCR) 10-Digit Long Code (10DLC) registration
requirements enforced by U.S. mobile carriers (AT&T, Verizon, T-Mobile, and
others). We maintain an active 10DLC brand and campaign registration
consistent with CTIA Messaging Principles and Best Practices.
6. INTELLECTUAL PROPERTY
All content on jacoboupholstery.com, including but not limited to text, images,
photographs, graphics, logos, and trade dress, is owned by or licensed to
Jacobo Rene Upholstery and is protected under U.S. copyright, trademark, and
other intellectual property laws. You may not reproduce, distribute, modify,
or create derivative works from any content on our website without prior
written consent.
7. DISCLAIMER OF WARRANTIES
OUR WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT
WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED
TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
AND NON-INFRINGEMENT.
We do not warrant that our website will be uninterrupted, error-free, or free
of viruses or other harmful components. We do not guarantee specific results
from our services, as outcomes may vary based on material condition, fabric
characteristics, and other factors.
8. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JACOBO RENE UPHOLSTERY
(DBA JACOBO UPHOLSTERY) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA,
OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR WEBSITE OR
SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claims arising out of or related
to these Terms or our services shall not exceed the total amount paid by you to
us in the three (3) months preceding the claim.
Nothing in these Terms limits liability that cannot be excluded or limited
under applicable law, including liability for personal injury caused by our
negligence or for fraud or fraudulent misrepresentation.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Jacobo Rene Upholstery
(DBA Jacobo Upholstery), its owners, employees, agents, and successors from
and against any claims, damages, losses, liabilities, costs, and expenses
(including reasonable attorneys’ fees) arising out of or relating to: (a) your
use of our website or services; (b) your violation of these Terms; (c) your
violation of any applicable law or regulation; or (d) any content you provide
to us.
10. THIRD-PARTY LINKS AND SERVICES
Our website may contain links to third-party websites or services (such as
social media platforms, review sites, or payment processors). These links are
provided for convenience only. We do not control and are not responsible for
the content, privacy practices, or terms of those third-party sites. Accessing
them is at your own risk.
11. GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Governing Law. These Terms are governed by and construed in accordance
with the laws of the State of Florida, without regard to its conflict-of-law
provisions.
11.2 Jurisdiction and Venue. Any legal action or proceeding arising under these
Terms shall be brought exclusively in the state or federal courts located in
Miami-Dade County, Florida. You consent to the personal jurisdiction and venue
of those courts.
11.3 Informal Resolution. Before initiating any legal action, you agree to
first contact us at info@jacoboupholstery.com and provide written notice of
your dispute. We will attempt to resolve the dispute informally within 30
calendar days.
11.4 Waiver of Class Action. To the extent permitted by law, you waive any
right to bring or participate in a class action or class-wide arbitration
proceeding against us.
12. MODIFICATIONS TO THESE TERMS
We reserve the right to update or modify these Terms at any time. When we do,
we will revise the “Last Updated” date at the top of this page. If changes are
material, we may notify you by posting a notice on our website or by sending
you an email or text message (if you have opted into communications). Your
continued use of our website or services after any changes constitutes your
acceptance of the revised Terms.
